Terms of Service

Effective date: August 20, 2026

TechNovaTime, Inc. (a Delaware corporation)

These Terms of Service ("Terms") are a contract between you and TechNovaTime, Inc., a Delaware corporation ("TechNovaTime," "we," "us," or "our"). They govern your access to and use of technovatime.com, related applications, accounts, digital employees, sandboxes, and other services we provide (the "Services").

Our Acceptable Use Policy is part of these Terms. Our Privacy Policy explains how we collect and use personal information. By creating an account, clicking to accept, or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

These Terms are designed for business customers. They are not a consumer chatbot agreement. A Business Associate Agreement, Data Processing Addendum, order form, or service level agreement applies only if we and you sign it.

1. Eligibility and accounts

You must be at least 18 years old, and able to form a binding contract, to use the Services. The Services are offered for business and professional use, not for personal household use.

You must provide accurate account information and keep it current. You are responsible for all activity under your account and for safeguarding credentials. Notify us promptly at support@technovatime.com if you believe your account has been compromised. You may not share login credentials except with personnel you authorize under your organization.

2. The Services

The Services may include our website, accounts, workflow recording and process mapping, vision-based digital employees that operate software the way a person would, isolated cloud sandboxes, logs and analytics, APIs where we make them available, and optional white-label or agency features.

We may change, suspend, or discontinue features. We do not guarantee that a digital employee will complete every run, match a particular success rate, or remain compatible with third-party software after that software changes. Evaluation or free-tier access, if offered, is provided as-is and may be limited in volume, duration, or functionality.

3. Customer content

You retain whatever rights you already have in recordings, screenshots, workflow graphs, prompts, credentials you supply, target-system data, and outputs generated for you ("Customer Content").

You grant TechNovaTime a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Content solely to provide, maintain, secure, and support the Services, and to improve the Services as described in the model improvement section below. We do not claim ownership of your Customer Content.

4. Your systems and credentials

Digital employees act on systems you designate, using credentials and access you provide. You represent and warrant that you have all rights, licenses, consents, and authority needed for TechNovaTime and the digital employee to access those systems and process that data. That includes electronic health records, payer portals, practice management software, CRMs, finance tools, and any other application you connect.

You are solely responsible for complying with the terms, acceptable use rules, and access policies of those third-party systems. Unauthorized access to a computer system is your responsibility, not a feature of the Services. Do not provide credentials you are not authorized to use.

5. Automation, outputs, and no professional advice

Digital employees use computer vision, language models, and related techniques. Outputs and actions can be incomplete, outdated, or wrong even when they appear specific. You must review work product that matters, including claims, eligibility results, postings, filings, and any action that could affect patients, customers, or money.

The Services are tools. They are not a substitute for licensed clinical, legal, accounting, or other professional judgment. We do not provide medical, legal, or financial advice.

6. Fees and payment

If you purchase paid Services, you agree to pay the fees described at the time of purchase, on an order form, or on our pricing page, including usage-based runtime fees (for example, per-hour sandbox or digital-employee runtime where we offer that pricing). Fees may change for future periods with notice on the site or by email.

You are responsible for applicable taxes. Late or failed payment may result in suspension. Unless an order form says otherwise, fees are non-refundable except where required by law. We may invoice through a payment processor you authorize.

7. Protected health information

Do not use the Services to create, receive, maintain, or transmit protected health information ("PHI") unless you and TechNovaTime have signed a Business Associate Agreement ("BAA"). A BAA is available on request for qualifying accounts and is not these public Terms.

If you submit PHI without a BAA, we may suspend the relevant workspace and require deletion or a signed BAA before processing continues.

8. Model and product improvement

We do not use PHI, or Customer Content from accounts covered by a BAA or an enterprise agreement that prohibits training, to train or improve models.

For other accounts, we may use recordings, screenshots, workflow graphs, and non-credential agent logs to maintain and improve the Services, including models, unless you send a written opt-out to support@technovatime.com. After we process an opt-out, we will not use that account’s Customer Content for model training going forward, other than as needed for security, abuse review, or to provide the Services to you.

We do not use passwords, API keys, secrets, payment card numbers, or similar credentials to train models.

9. Intellectual property

TechNovaTime and its licensors own the Services, including software, models, interfaces, documentation, and branding. These Terms do not transfer those rights except for the limited permission to use the Services as allowed here.

Feedback you provide (suggestions, ratings, error reports) may be used by us without restriction or compensation.

10. Confidentiality, security, suspension, and termination

Each party may receive non-public information from the other. The receiving party will use that information only for the relationship under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party.

We implement administrative, technical, and physical safeguards appropriate to the Services. You are responsible for configuring access within your organization, rotating credentials, and deciding what data to record.

We may suspend or terminate access if you materially breach these Terms, if required by law, if fees are unpaid, or if your use creates security, legal, or operational risk. You may stop using the Services at any time. Provisions that should survive (including IP, fees owed, disclaimers, liability limits, and indemnity) remain in effect.

11. Disclaimers, liability, and indemnity

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHNOVATIME DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT DIGITAL EMPLOYEES WILL SUCCEED ON ANY PARTICULAR WORKFLOW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHNOVATIME AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO TECHNOVATIME FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NOTHING.

You will indemnify and hold harmless TechNovaTime and its personnel from claims, damages, and reasonable legal fees arising from Customer Content, your use of the Services, your digital employees’ actions on third-party systems, unauthorized access you directed or permitted, or your breach of these Terms, including the Acceptable Use Policy.

12. White-label and agencies

If we enable white-label, reseller, or agency features, you remain the contracting party with your end clients. You are responsible for your client contracts, support, branding, and any promises you make. Your end clients are not third-party beneficiaries of these Terms unless an order form says otherwise.

13. Changes, notices, and general terms

We may update these Terms. We will post the updated version with a new effective date and, for material changes, provide additional notice (for example by email or in-product). Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Services.

Notices to TechNovaTime must be sent to support@technovatime.com. Notices to you may be sent to the email on your account or posted in the Services.

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

If a provision is unenforceable, the remainder stays in effect. You may not assign these Terms without our consent, except to a successor in connection with a merger or sale of substantially all assets; we may assign to an affiliate or successor. These Terms, the Acceptable Use Policy, and any signed order form, BAA, or DPA are the entire agreement for the Services they cover and supersede prior discussions on that subject. A signed BAA or DPA controls over these Terms on the subject it addresses.
